These Terms and Conditions (the “Terms”) govern your access to and use of the Shortlistr platform (the “Platform”), accessible at www.theshortlistr.com, operated by The Win Factory, trading as Antigravity (“we,” “us,” “our,” or the “Operator”). By creating an account, accessing, or using the Platform, you (“you,” “your,” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

The Platform is a player-availability and shortlisting marketplace designed for the professional soccer industry in North America (including, without limitation, USL, CPL, and MLS Next Pro leagues). It facilitates connections between professional soccer players, licensed agents, and clubs but is not a party to any agreement, contract, or arrangement that may result from those connections.

1.Definitions

In these Terms, the following definitions apply unless the context requires otherwise:

  • “Account” means the registered account a User creates to access the Platform.
  • “Agent” means a User who registers as a licensed player agent or intermediary and pays the applicable Agent subscription fee.
  • “Club” means a professional soccer club that has been approved by the Operator to access the Platform.
  • “Confidential Information” means all information accessed through the Platform that is not publicly available outside the Platform, including but not limited to: the identity and profile details of registered Players, Agents, and Clubs; Trade Board posts and discussions; shortlist data; messaging content; and any other non-public information obtained through use of the Platform.
  • “Content” means any information, data, text, images, videos, links, or other material uploaded, posted, or transmitted through the Platform by a User.
  • “Player” means a User who registers as a professional soccer player and pays the applicable Player subscription fee.
  • “Subscription” means the recurring annual payment plan applicable to Players and Agents.
  • “Trade Board” means the club-to-club advertisement marketplace feature of the Platform.
  • “Verified Agent” means an Agent whose government-issued identification has been reviewed and approved by the Operator.

2.Eligibility

2.1 General Eligibility

The Platform is designed for professional soccer industry participants, including players, licensed agents, and club personnel.

2.2 Age Requirements

Users under the age of eighteen (18) may create an Account and use the Platform only with the verifiable consent of a parent or legal guardian. By permitting a minor to use the Platform, the parent or legal guardian agrees to these Terms on behalf of the minor and assumes full responsibility for the minor’s use of the Platform, including all financial obligations. The Operator reserves the right to request proof of parental or guardian consent at any time and to suspend or terminate any Account where adequate consent cannot be verified.

2.3 Agent Eligibility

Users registering as Agents represent and warrant that they hold any licences, registrations, or authorisations required by the applicable governing football association(s) to act as an agent or intermediary.

2.4 Club Eligibility

Club access is granted solely at the Operator’s discretion following submission and approval of an access-request form. The Operator may approve or reject any request without providing a reason.

3.Account Registration and Security

3.1 Registration

To use the Platform, you must create an Account by providing a valid email address and password. Players and Agents must also complete the applicable payment process (see Section 5). Club representatives must submit an access-request form and receive approval from the Operator before gaining access.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to update such information promptly to keep it accurate, current, and complete. You represent and warrant that all information in your profile is truthful and not misleading. Providing false or misleading information is a material breach of these Terms and may result in immediate Account termination.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately at the contact details set out in Section 25 if you become aware of any unauthorised use of your Account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

3.4 One Account Per User

Each individual may maintain only one Account. Creating multiple Accounts to circumvent restrictions, abuse Platform features, or for any fraudulent purpose is strictly prohibited and may result in immediate termination of all associated Accounts.

4.User Types and Access Levels

4.1 Players

Players may, upon payment of the applicable Subscription:

  • Create and maintain a professional profile comprising five sections: Basic Info, Status, Career History, Media, and Contact.
  • Upload a profile picture (maximum 2 MB; JPG or PNG format), a CV or résumé (maximum 5 MB; PDF, DOC, or DOCX format), and a highlight-video URL.
  • Add up to three (3) custom links, a Transfermarkt URL, and a college-profile URL.
  • Add up to five (5) professional references, each comprising a name, role, and quote (maximum 500 characters). Reference contact information (phone and email) is not displayed on public profiles.
  • Import career history manually or, for men’s profiles, auto-import from Transfermarkt via a third-party API.
  • Share a public profile at a unique URL (/p/[code]) with social-sharing functionality.
  • Access an anonymous profile-view analytics dashboard with 7-day, 30-day, 90-day, and all-time filters.
  • Save or favourite Agents.
  • Send and receive in-app messages with Agents and Clubs.
  • Configure notification preferences for profile-view digests, shortlist-add digests, and unread-message reminders.
  • Toggle profile visibility between active and inactive states.

Restriction: Players are not permitted to access the Trade Board.

4.2 Agents

Agents may, upon payment of the applicable Subscription:

  • Create and maintain an agent profile including name, agency name, contact details, gender category, biography (maximum 1,000 characters), years of experience, location, website URL, and LinkedIn URL.
  • Upload a profile picture (maximum 2 MB; JPG or PNG format).
  • Submit government-issued identification (maximum 5 MB; JPG, PNG, or PDF format) for optional identity verification. Approved Agents receive a “Verified” badge; rejected submissions receive a written reason for rejection.
  • Add up to five (5) professional references.
  • Search and browse available Players using filters (position, age range, domestic status, contract status, 25-day contract willingness).
  • Shortlist Players with private notes and access shortlisted Players’ full contact details.
  • Send and receive in-app messages with Players and Clubs.
  • Access the Trade Board to view all posts and create posts (with anonymous-posting and agent-visibility toggles).
  • Access Trade Board messaging (a separate messaging system from the main inbox).
  • Subscribe to Trade Board category notifications.
  • Access a profile-view analytics dashboard.
  • Toggle profile visibility between active and inactive states.

4.3 Clubs

Clubs, upon Operator approval, may access the Platform at no charge and may:

  • Create and maintain a club profile including name, description (maximum 1,000 characters), league affiliation, gender category, country, contact email, phone, website URL, and logo (maximum 2 MB; JPG or PNG format).
  • Manage a club staff roster with multiple staff members (each with name, role, and email).
  • Search and browse available Players using advanced filters.
  • Maintain a shared master shortlist with private notes, accessible to all club staff members.
  • Access shortlisted Players’ full contact details.
  • Browse the Agent directory with contact details.
  • Toggle whether to display club contact details publicly.
  • Send and receive in-app messages with Players and Agents.
  • Access the Trade Board with full functionality across six categories: Looking to Buy, Looking to Sell, Trade Offer, Roster Spot Available, Player Wanted, and Other/Miscellaneous.
  • Post on the Trade Board with anonymous-posting and agent-visibility toggles. Posts auto-expire after a set time window.
  • Access Trade Board messaging (separate from the main messaging inbox).
  • Subscribe to Trade Board category notifications.
  • Toggle profile visibility between active and inactive states.

5.Subscriptions, Payments, and Billing

5.1 Subscription Fees

Access to the Platform for Players and Agents requires a paid annual Subscription unless discounted or free access is acquired via a discount code or manual addition by an administrator.

5.2 Billing Cycle

Subscriptions are billed on an annual recurring basis. Your Subscription will automatically renew on each anniversary of your initial payment date unless you cancel before the renewal date in accordance with Section 5.6.

5.3 Payment Processing

All payments are processed by Stripe, a third-party payment processor. The Platform does not store, process, or have access to your full credit- or debit-card numbers. By subscribing, you agree to Stripe’s terms of service and privacy policy. You are responsible for ensuring that your payment method is valid and that sufficient funds are available.

5.4 Promotional Codes

The Operator may, at its sole discretion, issue promotional or coupon codes that reduce the Subscription fee. Promotional codes are subject to any terms, conditions, and expiry dates specified at the time of issuance, may not be combined with other offers, and may be revoked at any time.

5.5 Dynamic Pricing

The Operator reserves the right to adjust Subscription pricing at any time. Any price change will take effect at the start of the next billing cycle following notice to affected Users. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

5.6 Cancellation

You may cancel your Subscription at any time through your Account settings. Upon cancellation, your Subscription will remain active until the end of the current billing period, after which your access to paid features will be suspended. You will not be charged for subsequent billing periods.

5.7 Refund Policy

All Subscription fees are non-refundable. No refunds or credits will be issued for partial subscription periods, unused time, or Account termination (whether initiated by you or by the Operator for violation of these Terms). In exceptional circumstances, the Operator may, at its sole discretion, consider refund requests on a case-by-case basis.

5.8 Failed Payments

If a payment fails, we may notify you via email. If the payment issue is not resolved within a reasonable period, your access to paid features may be suspended until payment is successfully processed.

6.Profile Content and Visibility

6.1 Profile Information

You are solely responsible for the accuracy and completeness of all information included in your profile. Profile fields may include, without limitation: name, date of birth, gender category, playing position(s), current location, current club, contract dates, availability flags, domestic-eligibility information, and biographical text.

6.2 Profile Visibility Toggle

All User types may toggle their profile between active and inactive states. An inactive profile is hidden from search results and returns a “404 Not Found” response to anyone attempting to view it. Toggling a profile to inactive does not cancel a Subscription or delete the Account.

6.3 Public Player Profiles

Players’ public profiles (accessible at /p/[code]) display limited information, including name, position, calculated age (not date of birth), location, availability flags, and references (without reference contact information). Public profiles do not display date of birth, phone number, email address, or agent details.

6.4 Anonymous Profile Views

Profile-view analytics are anonymous. Players are notified that “a club viewed your profile” but are not shown the identity of the viewing club. Similarly, Agent profile views are tracked anonymously.

6.5 Contact Information Access

Agents and Clubs that shortlist a Player gain access to that Player’s full contact details (phone and email). Clubs may also browse Agent contact details through the Agent directory. Access to contact information is contingent on having an active Account in good standing.

7.Messaging System

7.1 In-App Messaging

The Platform provides an in-app messaging system that enables direct conversations between two parties of different User types (Player–Agent, Player–Club, and Agent–Club). Each message is limited to 1,000 characters.

7.2 Trade Board Messaging

The Trade Board has a separate, dedicated messaging system distinct from the main messaging inbox. Trade Board messages follow the same conduct rules set out in Section 11.

7.3 Blocking

Users may block other Users. A blocked User cannot send or receive messages to or from the blocking User. Blocking is enforced at the database level and takes effect immediately. Rate limits apply to blocking actions (a maximum of 20 blocks per IP address within any 15-minute window).

7.4 Reporting

Users may report messages that they believe violate these Terms. Report categories include: Spam, Harassment or Abuse, Inappropriate Content, and Other (with an explanatory note). Reported messages are automatically flagged for administrator review. Rate limits apply to reporting (a maximum of 10 reports per IP address within any 15-minute window).

7.5 Messaging Suspension

The Operator may suspend a User’s messaging privileges if the User is found to be in breach of these Terms. A User with suspended messaging privileges cannot send or receive any messages on the Platform. Messaging suspension is enforced at the database level.

8.Trade Board

8.1 Purpose

The Trade Board is a club-to-club advertisement marketplace for player transactions. Its primary audience is Clubs, though Agents may also view and create posts.

8.2 Access Restrictions

Players are not permitted to access the Trade Board under any circumstances. Any attempt by a Player to access the Trade Board in violation of this restriction may result in Account suspension or termination.

8.3 Post Content

Trade Board posts include a title (maximum 200 characters), a description (maximum 2,000 characters), a category, and optional toggles for anonymous posting and agent visibility. Posts are classified into six categories: Looking to Buy, Looking to Sell, Trade Offer, Roster Spot Available, Player Wanted, and Other/Miscellaneous.

8.4 Post Expiry

Trade Board posts have an expiration date and will auto-expire after the designated time window. Expired posts are removed from public view.

8.5 Moderation

The Operator reserves the right to remove, edit, or restore any Trade Board post and to inspect associated message threads at any time and without prior notice.

9.Notifications and Email Communications

9.1 In-App Notifications

The Platform provides in-app notifications for profile views, shortlist additions, new messages, Trade Board category updates, and administrator-sent notifications. Unread-message counts are updated periodically.

9.2 Email Digests and Transactional Emails

Email communications are delivered via SendGrid, a third-party email delivery service, from @theshortlistr.com sender addresses. Email types include:

  • Profile-view digests (configurable: daily, weekly, monthly, or never).
  • Shortlist-add digests (configurable: daily, weekly, monthly, or never).
  • Unread-message reminders (configurable: 24 hours, 48 hours, 72 hours, 1 week, or never).
  • Transactional emails including welcome messages, payment-failure notices, subscription-cancellation confirmations, and contact-form confirmations.

9.3 Notification Preferences

You may configure your notification preferences at any time through your Account settings. The Operator reserves the right to send essential service-related communications (such as security alerts, billing notices, and material changes to these Terms) regardless of your notification preferences.

10.Confidentiality

10.1 Obligation of Confidentiality

You acknowledge that the Platform contains Confidential Information belonging to the Operator and to other Users. You agree to treat all Confidential Information as strictly confidential and to not disclose, distribute, publish, or share it with any third party outside the Platform without the prior written consent of the Operator or the relevant User (as applicable).

10.2 Prohibited Disclosures

Without limiting the generality of Section 10.1, you shall not:

  • Share, forward, or disclose the identity or profile details of any Player, Agent, or Club registered on the Platform with any person or entity that is not a registered User of the Platform.
  • Share, reproduce, or distribute any Trade Board posts, trade discussions, job advertisements, or roster-availability information accessed through the Platform.
  • Take, store, or distribute screenshots, screen recordings, photographs, or any other reproductions of Platform content, including but not limited to profiles, messages, shortlists, and Trade Board posts.
  • Compile, scrape, or aggregate Platform data for any purpose outside normal use of the Platform.

10.3 Exceptions

The obligations in this Section 10 do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was already in your lawful possession before you accessed it on the Platform; (c) is required to be disclosed by law, regulation, or valid court order, provided you give the Operator prompt written notice where legally permitted; or (d) is shared with your own professional advisers under equivalent obligations of confidentiality.

10.4 Survival

Your obligations under this Section 10 survive the termination or expiry of your Account and continue for a period of two (2) years following the date on which you last accessed the Platform.

11.User Conduct and Content Rules

11.1 General Conduct

You agree to use the Platform in accordance with all applicable laws and regulations and in a manner that is respectful and professional. You shall not:

  • Provide false, misleading, or inaccurate information in your profile or any communication on the Platform.
  • Create fake, fraudulent, or misleading profiles or impersonate any person or entity.
  • Use the messaging system or Trade Board for spam, unsolicited communications, harassment, abuse, threats, defamation, or any illegal purpose.
  • Attempt to access areas of the Platform that are restricted from your User type (e.g., Players attempting to access the Trade Board).
  • Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Platform.
  • Use automated scripts, bots, crawlers, or similar tools to access or scrape the Platform without prior written consent.
  • Upload or transmit any material that contains viruses, malware, or other harmful code.
  • Engage in any activity that could damage, disable, overburden, or impair the Platform’s infrastructure.
  • Use the Platform to facilitate any transaction that violates the rules or regulations of any applicable football governing body.
  • Transfer, sell, or share your Account credentials with any third party.

11.2 Consequences of Abuse

Users who engage in spamming, harassment, abuse, or other conduct prohibited by these Terms may face one or more of the following consequences at the Operator’s sole discretion:

  • Immediate suspension or permanent termination of messaging privileges.
  • Temporary or permanent deactivation of the User’s profile and Account.
  • Removal from the Platform without refund of any Subscription fees paid.
  • Referral to law enforcement or the initiation of legal proceedings where the Operator believes the conduct constitutes a criminal offence or actionable civil wrong.

The Operator reserves the right to pursue all available legal remedies against Users who violate these Terms, including but not limited to claims for damages, injunctive relief, and recovery of legal costs.

11.3 Agent Verification

Agents who submit identification documents for verification must submit genuine, unaltered, government-issued identification. Submission of forged, altered, or fraudulent documents will result in immediate Account termination and may be reported to the appropriate authorities.

11.4 Trade Board Conduct

All Trade Board posts must relate to legitimate player transactions. Posts that are misleading, irrelevant, or intended to deceive other Users are prohibited.

11.5 Content Moderation

Content moderation is performed by Platform administrators. The Operator reserves the right to remove any Content, suspend messaging privileges, deactivate profiles, or terminate Accounts at its sole discretion and without prior notice.

11.6 Reporting

Users are encouraged to report any Content or conduct that violates these Terms using the Platform’s built-in reporting functionality. All reports are reviewed by administrators.

12.Non-Competition and Non-Solicitation

12.1 No Competitive Use

You agree that you will not use any information, data, knowledge, insights, or features obtained through or observed on the Platform (including its design, functionality, user experience, data structures, Trade Board mechanics, or business model) to develop, launch, operate, fund, advise on, or contribute to any product, platform, or service that competes with the Platform, whether directly or indirectly.

12.2 No Solicitation of Users

You agree not to use the Platform or any information obtained through the Platform to solicit, recruit, or direct Users to any competing platform, product, or service.

12.3 Duration

The obligations set out in this Section 12 apply during the term of your Account and for a period of twelve (12) months following the termination or expiry of your Account, regardless of the reason for termination.

12.4 Remedies

You acknowledge that a breach of this Section 12 would cause irreparable harm to the Operator for which monetary damages alone would be an inadequate remedy. Accordingly, the Operator shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, without the requirement of posting a bond or proving actual damages.

13.Independent Professional Advice

13.1 Platform Is Not an Advisory Service

The Platform is a connectivity tool only. The Operator does not provide legal, financial, tax, immigration, or career advice. No information presented on the Platform—including player profiles, agent profiles, club information, Trade Board posts, or messages—constitutes professional advice or a recommendation.

13.2 Recommendation to Seek Advice

The Operator strongly recommends that, before entering into any verbal agreement, written contract, or other commitment arising from a connection made on the Platform—including but not limited to player representation agreements, transfer agreements, loan arrangements, trial invitations, or employment contracts—you obtain independent legal and/or professional advice from a qualified adviser in the relevant jurisdiction.

13.3 No Responsibility for User Agreements

The Operator accepts no responsibility or liability for the terms, enforceability, legality, or outcome of any agreement, arrangement, or commitment entered into between Users or between a User and any third party, whether or not such agreement originated from a connection facilitated by the Platform.

14.Intellectual Property

14.1 Platform Ownership

All intellectual property rights in the Platform, including but not limited to its design, branding, logos, trademarks, code, and proprietary content, are and remain the exclusive property of The Win Factory (trading as Antigravity) or its licensors. Nothing in these Terms grants you any right, title, or interest in the Platform other than the limited right to use the Platform in accordance with these Terms.

14.2 User Content Licence

You retain ownership of all Content you submit to the Platform. By submitting Content, you grant the Operator a worldwide, non-exclusive, royalty-free, transferable, sub-licensable licence to use, reproduce, display, distribute, and modify your Content solely for the purpose of operating, improving, and promoting the Platform. This licence continues for as long as your Content remains on the Platform and terminates upon deletion of such Content, except where your Content has been shared with or relied upon by other Users.

14.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by the Operator without restriction or obligation to you.

15.Third-Party Services

The Platform integrates with the following third-party services to deliver its functionality:

  • Supabase: User authentication, PostgreSQL database hosting, and file storage.
  • Stripe: Payment processing, subscription management, and promotional-code handling.
  • SendGrid: Transactional and digest email delivery.
  • Vercel: Web hosting, serverless functions, and cron-job scheduling.
  • Transfermarkt (via third-party API): Optional career-history auto-import for men’s player profiles.

Your use of these third-party services is subject to their respective terms of service and privacy policies. The Operator is not responsible for the availability, accuracy, or conduct of any third-party service.

16.Data Collection, Storage, and Privacy

16.1 Data We Collect

We collect and store the following categories of data:

  • Account information (email, hashed password, User type).
  • Profile information as described in Section 4.
  • Uploaded files (profile pictures, CVs, logos, verification documents) stored in Supabase Storage.
  • Messaging data (message content, participants, timestamps).
  • Profile-view data (which club viewed which player, timestamp), de-duplicated to one view per club per player per day.
  • Shortlist data (who shortlisted whom, timestamps, private notes).
  • Contact-form submissions (name, email, subject, message).
  • Payment and billing information processed and stored by Stripe.

16.2 Verification Documents

Agent government-issued identification documents submitted for verification are stored with restricted access. Only authorised administrators may access these documents via time-limited signed URLs (one-hour expiry). Verification documents are used solely for the purpose of verifying Agent identity.

16.3 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in our Privacy Policy.

17.File Uploads

The Platform permits the following file uploads, subject to the stated size and format restrictions:

  • Profile pictures: Maximum 2 MB; JPG or PNG format.
  • CVs / résumés: Maximum 5 MB; PDF, DOC, or DOCX format.
  • Club logos: Maximum 2 MB; JPG or PNG format.
  • Agent verification documents: Maximum 5 MB; JPG, PNG, or PDF format.

You represent and warrant that any file you upload does not infringe any third party’s intellectual property rights, does not contain malware or harmful code, and complies with these Terms. The Operator reserves the right to remove any uploaded file that violates these Terms.

18.Disclaimers

18.1 No Guarantee of Outcomes

THE PLATFORM IS A MARKETPLACE THAT FACILITATES CONNECTIONS BETWEEN PLAYERS, AGENTS, AND CLUBS. THE OPERATOR DOES NOT GUARANTEE EMPLOYMENT, REPRESENTATION, PLAYER SIGNINGS, TRADES, OR ANY SPECIFIC OUTCOME FROM USING THE PLATFORM. USE OF THE PLATFORM DOES NOT CREATE ANY EMPLOYMENT, AGENCY, PARTNERSHIP, OR ADVISORY RELATIONSHIP BETWEEN YOU AND THE OPERATOR.

18.2 “As Is” Basis

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

18.3 User-Submitted Information

THE OPERATOR DOES NOT VERIFY THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY USER-SUBMITTED CONTENT (EXCEPT WHERE SPECIFICALLY STATED, SUCH AS AGENT IDENTITY VERIFICATION). YOU ACKNOWLEDGE THAT YOU RELY ON USER-SUBMITTED INFORMATION AT YOUR OWN RISK.

18.4 Third-Party Services

THE OPERATOR IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF ANY THIRD-PARTY SERVICE PROVIDER, INCLUDING BUT NOT LIMITED TO STRIPE, SUPABASE, SENDGRID, VERCEL, AND TRANSFERMARKT.

19.Limitation of Liability

19.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OPERATOR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO THE OPERATOR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19.3 User Interactions

The Operator is not responsible for the conduct of any User, whether online or offline. You are solely responsible for your interactions with other Users. The Operator makes no representations or warranties regarding the character, integrity, qualifications, or intentions of any User.

19.4 Force Majeure

The Operator shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications failures, or third-party service outages.

20.Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE OPERATOR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATED TO: (A) YOUR USE OF THE PLATFORM; (B) YOUR VIOLATION OF THESE TERMS; (C) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION; (D) YOUR CONTENT; (E) YOUR BREACH OF THE CONFIDENTIALITY OBLIGATIONS IN SECTION 10; OR (F) YOUR INTERACTIONS WITH OTHER USERS.

21.Termination

21.1 Termination by You

You may cancel your Subscription and request deletion of your Account at any time through your Account settings or by contacting us via the details in Section 25. Cancellation of a Subscription takes effect at the end of the current billing period.

21.2 Termination by the Operator

The Operator may, at its sole discretion and without liability, suspend or terminate your Account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms (including the confidentiality and non-competition obligations), fraudulent or illegal activity, submission of false information, abuse of the messaging system, or conduct that the Operator reasonably believes is harmful to other Users or the Platform.

21.3 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. The Operator is not obligated to provide a refund of any Subscription fees upon termination. Sections that by their nature should survive termination (including, without limitation, Sections 10, 12, 13, 14, 18, 19, 20, and 22) shall survive.

22.Data Retention

Following Account deletion or Subscription expiry, the Operator will retain your personal data for a period of ninety (90) days to allow for Account recovery or to comply with legal obligations. After this retention period, personal data will be permanently deleted, except where retention is required by applicable law or for the establishment, exercise, or defence of legal claims. Anonymised or aggregated data that does not identify you may be retained indefinitely for analytical and statistical purposes.

23.Governing Law and Dispute Resolution

23.1 Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of [State/Province], [Country], without regard to its conflict-of-laws principles.

23.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in [State/Province], [Country] for the resolution of any disputes arising out of or relating to these Terms or the Platform.

24.General Provisions

24.1 Modifications to These Terms

The Operator reserves the right to modify these Terms at any time. Material changes will be communicated to Users via email and/or a prominent notice on the Platform at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your Account.

24.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

24.3 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Operator with respect to your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

24.4 Waiver

No failure or delay by the Operator in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

24.5 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of the Operator. The Operator may assign these Terms without restriction. Any purported assignment in violation of this Section is void.

24.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Nothing in these Terms is intended to confer any rights or remedies upon any person other than the parties hereto.

24.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

24.8 Rate Limiting

To protect the integrity of the Platform, rate limits are enforced on certain actions, including but not limited to account creation, checkout, message reporting, contact-form submissions, blocking, and Trade Board actions. Exceeding these limits may result in temporary restrictions on your ability to perform the affected actions.
